To Register as a Corporation

To register as a corporation, the services of an attorney will need to be solicited to properly and legally file the relevant documents, including articles of association, etc. The attorney will need to submit the relevant documents to the Office of the Registrar  so that the Registry can file your documents and certify you as a corporation. Click here to view our Membership Directory

The documents needed to incorporate a company are:

  • Memorandum of Association
  • Articles of Association
  • In the case where a company is limited by guarantee – A letter addressed to the Attorney General requesting permission to dispense the word “Limited”.

The cost to incorporate a company is $584.00 providing that the share capital is less than or equal to $10,000.00.  If the share capital exceeds $10,000.00 the registration will be more (View schedule on website: www.belizecompaniesregistryweb.com)

If registering a business name, companies are required to pay a fee of $25.00 or more depending on the type of business.

The following documents are necessary upon application to register your company:

  • Voter’s Identification card
  • Social Security
  • Residence documents or a residence card
  • A passport

Registration of IBC takes place at:

International Business Companies Registry,
Marina Towers, Suite 201
Newtown Barracks,
Belize City, Belize

Applicable to: Foreigners who may want to form a company under the International Business Act Revised Edition 2000.

Requirements for IBCs:

Each IBC is required to have a registered office and a registered agent in Belize. An IBC does not:

  • Conduct business with persons resident in Belize;
  • Own an interest in real estate property in Belize
  • Perform as a registered agent for another Belizean IBC

  • Exemption from all forms of local taxation including stamp duty
  • Speedy and simple registration
  • Only one subscriber is required; thereafter one shareholder and one director are required
  • There are limited filing requirements, mainly certificate of incorporation, memorandum and articles of association

  • Low registration fee for new incorporations
  • No requirements for citizenship or residency for directors, officers or shareholders.
